2008 New York Songwriters Circle (“NYSC”) Official Rules & Regulations

1. To enter the "2008 Songwriting Contest" (the "Contest"), visit http://www.songwriters-circle.com, ("NYSC’s Website"), at any time during the Contest Period (as defined below) and follow the instructions for submitting each of the following:

  • One (1) song of five (5) minutes or less (in mp3, CD or cassette format);
  • Payment for Twenty Five ($25.00 USD) US Dollars per song or Forty Five ($45 USD) per three songs; and

  • One (1) completed entry form (collectively, the “Entry Materials”).

Contestants may submit the Entry Materials online at NYSC’s Website or by mail to the following address: New York Songwriters Circle, 420 East 72 Street, #20B, New York, NY 10021. Incomplete or inaccurate entries are void.

2. Entry Period: The Contest commences at 12:00:01 AM (ET) on April 10, 2008 and ends at 11:59:59 P.M. (ET) on October 9, 2008 (the "Contest Period"). All entries must be received by 11:59:59 P.M. (ET) on October 9, 2008. Incomplete or inaccurate entries are void.

3. Each song submitted must be contestant's original work. Songs may not exceed five (5) minutes in length. Songs may have multiple co-writers, but please designate one name only on the entry form. Contestant may submit as many songs in as many categories as he/she wishes, but each entry requires a separate cassette, CD or MP3 file, an entry form, and an entrance fee. One check or money order for multiple entries/categories is permitted. (Entrance fee is non-refundable. NYSC is not responsible for late, lost, damaged, misdirected, postage due, stolen, or misappropriated entries. NYSC is not responsible for faulty file uploads accompanying online entries.) Submitted material must not contain, include or involve any of the following: obscenity, pornography, explicit sexual activity, defamatory or libelous material, unauthorized copyrighted material (e.g., music), conduct or activities in violation of these Official Rules & Regulations or any other content that is or could be considered inappropriate, unsuitable or offensive, as determined solely by NYSC.

4. Twelve (12) contestants will be selected as Finalists from all entries received and offered at least the following prizes: (i) a performance slot at the NYSC showcase in New York, New York or Philadelphia, Pennsylvania; (ii) an opportunity to have one (1) composition included on NYSC’s compilation CD (which may be distributed by a major distribution company); and (iii) inclusion on the NYSC Website.

5. One (1) Finalist from outside the United States will be selected as the International Winner and will receive One Thousand ($1,000.00 USD) U.S. Dollars.

6. One (1) Finalist will be selected as the Third Prize Winner and will receive One Thousand Five Hundred ($1,500.00 USD) U.S. Dollars.

7. One (1) Finalist will be selected as the Second Prize Winner and will receive Three Thousand ($3,000.00 USD) U.S. Dollars.

8. One (1) Finalist will be selected as the Grand Prize Winner and will receive the following: (i) Five Thousand ($5,000.00 USD) U.S. Dollars; (ii) a chance to perform at Madison Square Garden during halftime of a New York Titans game; and (iii) free studio time at Dubway Studios, up to a maximum of One Thousand ($1,000.00 USD) US Dollars worth of studio time, to be used within twelve (12) months from the announcement of the Grand Prize Winner pursuant to Paragraph 19 below.

9. Contest is open to amateur and professional songwriters. Employees of NYSC, their families, subsidiaries, and affiliates are not eligible.

10. Winners will be chosen by a select panel of judges comprised of noted songwriters, producers, and/or music industry professionals. Songs will be judged based on melody, composition, originality and lyrics (where applicable). The quality of performance and production will not be considered. Prizes will be awarded jointly to all authors of any song; division of prizes is the responsibility of the winners. Void where prohibited. All federal, state, and local laws and regulations apply.

11. Finalists will be notified by mail and/or email and must sign and return the following within fourteen (14) days of notification date: (i) an affidavit of eligibility and recording rights, which states that the Finalist’s song is an original work and he/she holds all copyrights to such song; (ii) a publishing agreement with NYSC and its publishing designee, Songwriters Circle Songs (BMI), which shall grant to NYSC limited publishing rights to Finalist’s song in connection with the compilation CD; and (iii) a publicity release granting permission to NYSC and its affiliates to use Finalist’s name, address (city and state) and/or name, likeness, voice and master recording of submission for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known or hereafter devised, including, without limitation, on NYSC’s Website, unless prohibited by law. Failure to sign and return such affidavit within fourteen (14) days or provision of false/inaccurate information therein will result in immediate disqualification and an alternate winner will be selected. Affidavits are subject to verification by NYSC and its agents. Finalists may be required to send a copy of their passport, drivers license or birth certificate as proof of age.

12. All entrants agree to comply with these Official Rules & Regulations. Any person attempting to defraud or in any way tamper with this Contest and any person who does not comply with these Official Rules & Regulations, will be ineligible for prizes and may be prosecuted to the full extent of the law.

13. All contestants under the age of eighteen (18) must submit a parent or other legal guardian letter of authorization to the New York Songwriters Circle at their request at any time and is the sole responsibility of the writer submitting the entry. Failure to do so will disqualify the submission from being entered into the contest.

14. All Entry Materials, including, but not limited to, CDs, cassettes and mp3s, will not be returned to the contestant, and shall become the property of NYSC.

15. All contestants shall submit a lyric sheet for each song submission if requested by NYSC.

16. The New York Songwriters Circle conducts an annual Songwriting Contest. All contestants, regardless of any participation in any prior year’s contest or other affiliation with NYSC, must submit to all rules, regulations, terms and conditions for each contest year and complete a new submission for each contest year. The Rules & Regulations specified herein apply solely to the 2008 Songwriting Contest.

17. This Contest is void where and to the extent prohibited by law and is subject to all applicable laws, including, without limitation, federal, state, and local laws and regulations. Federal, state, and local taxes, if any, are the sole responsibility of the winners, who will receive a 1099 tax form reflecting actual value of any prize valued at Six Hundred ($600.00 USD) U.S. Dollars or more. These rules and the conduct of the contest are governed by the applicable laws of the United States of America, without giving effect to its conflict of laws provisions.

18. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS. If, for reasons beyond NYSC’s control, the Contest is not capable of running as originally planned, such as tampering or infection by computer virus, NYSC, at its sole discretion, reserves the right to cancel or modify the Contest, without liability. Should the Contest be terminated prior to the stated expiration date, notice will be posted on NYSC’s Website and the prizes may be awarded to winners to be selected from among all eligible entries received up until the time of termination. All interpretations of these rules and regulations and decisions by NYSC are final.

19. Finalists will be announced no later than November 5th, 2008. Winners of the International, Third, Second and Grand Prizes will be announced no later than November 30th, 2008. All announcements will be posted on NYSC’s Website. For more information, contact info@songwriters-circle.com.
